By accessing or using the Purplefish platform and services ("Services") provided by Purplefish Software Inc. ("Purplefish," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Services.

2. Description of Services

Purplefish provides AI-powered material and labor takeoff software for industrial pipe contractors and fabricators. Our Services include automated extraction of bill of materials, weld counts, and labor estimates from pipe isometric drawings.

3. User Accounts

To access certain features of our Services, you may be required to create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access
• Accept responsibility for all activities under your account

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Upload malicious code or attempt to compromise our systems
• Reverse engineer or attempt to extract source code from the Services
• Share account credentials or allow unauthorized access
• Use the Services to compete directly with Purplefish
• Exceed reasonable usage limits or abuse system resources

5. Intellectual Property

Our IP: The Services, including all software, algorithms, designs, and content, are owned by Purplefish and protected by intellectual property laws. You receive a limited, non-exclusive license to use the Services according to these Terms.

Your Content: You retain ownership of all drawings, data, and content you upload to the Services. You grant us a limited license to process this content solely to provide the Services to you.

6. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. By using the Services, you consent to the collection and use of information as described in the Privacy Policy.

7. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. PURPLEFISH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. TAKEOFF ESTIMATES ARE PROVIDED AS AIDS TO YOUR ESTIMATING PROCESS AND SHOULD BE REVIEWED AND VERIFIED BY QUALIFIED PERSONNEL BEFORE USE IN BIDS OR CONTRACTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PURPLEFISH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU FOR THE SERVICES IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Purplefish and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or violation of these Terms.

10. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Services will cease immediately.

11. Changes to Terms

We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of the Services after any changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in New York County, New York.
